- By engaging Root3D Consulting, you agree to these terms and any signed statement of work (SOW).
- Services cover consulting only; operational implementation is coordinated with you and your vendors.

Root3D Consulting engagement terms
These terms outline how we work together, protect confidentiality, and manage responsibilities for Mississippi medical cannabis consulting.
Fees & invoicing
- Fees, milestones, and payment timing are defined in the SOW or proposal.
- Late payments may incur reasonable finance charges or suspension of services.
Client responsibilities
- Provide accurate information, access, and timely feedback to enable delivery.
- Maintain required licenses, permits, and insurance for your operations.
Confidentiality
- Each party protects the other’s confidential information and uses it only to perform the engagement.
- We may share information with trusted expert partners solely as needed to deliver services, under confidentiality obligations.
Intellectual property
- Pre-existing IP remains with the originating party.
- Deliverables created for you under a paid SOW become yours upon full payment, except for Root3D methodologies and tools used to produce them.
Disclaimer & limitation of liability
- Consulting guidance is provided on an advisory basis; regulatory interpretations can change.
- Root3D is not liable for indirect, incidental, or consequential damages; direct liability is limited to fees paid for the affected services.
Governing law & disputes
- These terms are governed by the laws of the State of Mississippi.
- Disputes will first be addressed through good-faith negotiation; if unresolved, the venue will be in Mississippi courts unless otherwise agreed in writing.
Changes
- We may update these terms; material changes will be noted on this page with a revised date.
